1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and 5D Ai Solutions LLC ("Company," "we," "our," or "us") regarding your use of the Wristly platform ("Platform," "Service," or "Wristly").

By accessing or using Wristly, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Platform.

2. Eligibility

You must be at least 18 years old to use Wristly. By creating an account, you represent and warrant that:

You are at least 18 years of age
You have the legal capacity to enter into binding contracts
You are not prohibited from using the Service under applicable laws
All information you provide is accurate and complete
You will maintain the accuracy of your account information

3. Account Registration and Security

3.1 Account Creation

You must create an account to access most features of Wristly. You agree to:

Provide accurate, current, and complete information
Maintain and update your information as necessary
Keep your password secure and confidential
Notify us immediately of any unauthorized access
Accept responsibility for all activities under your account

3.2 Account Types

Wristly offers two types of accounts:

Personal Account: For individual collectors to showcase collections and participate in the marketplace
Dealer Account: For verified dealers to sell watches professionally, manage inventory, and access dealer-specific features

3.3 Dealer Verification

Dealer accounts require verification before accessing certain features. You must provide:

Valid business documentation
Government-issued identification
Tax identification number
Proof of business address
Any additional documentation we reasonably request

We reserve the right to deny verification or revoke dealer status at our sole discretion.

4. Platform Use and Conduct

4.1 Permitted Use

You may use Wristly for lawful purposes only, including:

Buying and selling authentic luxury watches
Showcasing your watch collection
Communicating with other users about watches
Participating in community discussions
Managing dealer inventory (for verified dealers)

4.2 Prohibited Activities

You agree NOT to:

List, sell, or attempt to sell counterfeit, replica, or stolen watches
Misrepresent the condition, authenticity, or provenance of watches
Engage in fraud, scams, or deceptive practices
Circumvent fees by completing transactions outside the platform
Harass, threaten, or abuse other users
Post offensive, defamatory, or inappropriate content
Violate any applicable laws or regulations
Use automated tools to scrape or access the Platform
Attempt to gain unauthorized access to systems or data
Interfere with the Platform's operation or security
Create multiple accounts to manipulate ratings or circumvent bans
Use the Platform for money laundering or terrorist financing

5. Watch Listings and Sales

5.1 Listing Requirements

When listing a watch for sale, you must:

Own the watch or have authority to sell it
Provide accurate descriptions and specifications
Upload clear, unaltered photos of the actual watch
Disclose any defects, damage, or modifications
Set a reasonable price and shipping terms
Ensure the watch is authentic and not stolen

5.2 Transaction Process

Transactions on Wristly follow this process:

Buyer submits an offer or accepts a listed price
Seller accepts the offer
Payment is processed through our payment provider
Seller ships the watch with tracking and insurance
Buyer receives and inspects the watch
Buyer confirms receipt or disputes the transaction
Payment is released to seller upon confirmation

5.3 Seller Responsibilities

As a seller, you agree to:

Ship watches within 2 business days of payment
Use secure, insured shipping with tracking
Package watches carefully to prevent damage
Respond promptly to buyer inquiries
Provide accurate tracking information
Honor the agreed-upon price and terms

5.4 Buyer Responsibilities

As a buyer, you agree to:

Complete payment promptly upon offer acceptance
Inspect the watch upon receipt
Confirm receipt or file disputes within 48 hours
Communicate professionally with sellers
Pay applicable taxes and import duties

5.5 Authentication Services

Wristly may offer optional authentication services for high-value transactions. Authentication is performed by third-party experts and is not a guarantee. We are not liable for authentication errors.

6. Fees and Payments

6.1 Platform Fees

Wristly charges the following fees (subject to change with notice):

Transaction Fee: A percentage of the sale price (charged to seller)
Payment Processing: Fees charged by payment processors (passed through)
Dealer Subscription: Monthly or annual fees for dealer accounts (if applicable)
Premium Features: Optional fees for featured listings or enhanced visibility

6.2 Payment Processing

Payments are processed through third-party providers (Stripe, PayPal). You agree to their terms and conditions. We do not store your full credit card information.

6.3 Escrow Services

For eligible transactions, we may hold funds in escrow until the buyer confirms receipt and satisfaction. Escrow fees may apply.

6.4 Refunds and Disputes

Refunds are handled on a case-by-case basis. If you have a dispute:

Contact the other party to resolve directly
If unresolved, file a dispute through the Platform
We will investigate and mediate in good faith
Our decision on disputes is final and binding

7. Content, Intellectual Property, and Data Rights

7.1 Your Content — License Grant to Wristly

You retain ownership of content you upload or post to the Platform, including photos, watch descriptions, collection information, reviews, and any other materials ("User Content"). However, by submitting User Content, you grant 5D Ai Solutions LLC a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to:

Use, reproduce, modify, adapt, publish, translate, and create derivative works from your User Content
Display and distribute your User Content on the Platform and across any media channels, including social media, email marketing, advertising, and third-party platforms
Use your User Content for marketing and promotional purposes, including but not limited to advertisements, social media posts, press materials, investor presentations, and platform showcases
Feature watch photos, descriptions, and collection data in editorial content, market reports, or promotional materials related to the watch and luxury goods industry
Sublicense User Content to trusted partners, affiliates, or service providers for purposes consistent with these Terms
Use User Content in any format or medium now known or hereafter developed, for the duration of any applicable intellectual property rights

This license does not require us to pay you compensation, credit you, or seek further approval. You represent and warrant that you have all rights necessary to grant this license and that your User Content does not infringe any third-party rights.

7.2 Platform Data and Analytics

By using the Platform, you acknowledge and agree that Wristly collects and owns all data generated through your use of the Platform, including:

Behavioral data — how you browse, search, view listings, and interact with features
Transaction data — pricing, sale history, offer patterns, and marketplace activity (in aggregated or anonymized form)
Watch market data — aggregated pricing trends, demand signals, and collector preferences derived from Platform activity
Engagement data — messaging frequency, feature usage, session duration, and navigation patterns

We may use this data for internal analytics, product improvement, business development, market research, and commercial purposes, including sharing aggregated and anonymized datasets with third parties. We will not sell your personally identifiable information to third parties without your consent, except as described in our Privacy Policy.

7.3 Cookies and Tracking Technologies

Wristly uses cookies, pixel tags, web beacons, and similar tracking technologies to operate and improve the Platform, deliver personalized experiences, and serve targeted advertising. By using the Platform, you consent to our use of these technologies, including:

Essential cookies: Required for authentication, security, and core Platform functionality
Analytics cookies: Used to understand how users interact with the Platform (e.g., Google Analytics, Vercel Analytics)
Marketing and advertising cookies: Used to deliver relevant ads on the Platform and across third-party sites, including retargeting based on your browsing behavior
Preference cookies: Used to remember your settings, preferences, and account configurations

You may manage cookie preferences through your browser settings, though disabling certain cookies may impact Platform functionality. For more detail on our data collection practices, please review our Privacy Policy.

7.4 Our Content

The Wristly platform, including design, features, text, graphics, and software, is owned by us and protected by copyright, trademark, and other laws. You may not copy, modify, or distribute our content without permission.

7.5 Content Moderation

We reserve the right to remove any content that violates these Terms, is illegal, or is otherwise objectionable. We may also suspend or terminate accounts that repeatedly violate our policies.

8. Reviews and Ratings

After completing a transaction, you may leave a review and rating. Reviews must be:

Honest and based on your actual experience
Relevant to the transaction
Free from profanity, threats, or personal attacks
Not influenced by incentives or compensation

We may remove reviews that violate these guidelines. You cannot delete reviews after posting, though you may edit them for a limited time.

9. Vouch System

Verified dealers may "vouch" for transactions to provide additional trust. By creating a vouch, you:

Put your reputation on the line for the transaction
Agree that the vouch cannot be deleted, only marked as void
Understand that voiding a vouch may harm your reputation
Must provide a valid reason if voiding a vouch

Vouches are not guarantees and do not create legal liability for the voucher. They are trust signals only.

10. Messaging and Communications

The Platform provides messaging features for users to communicate. You agree to:

Use messaging only for legitimate business purposes
Not spam, harass, or send unsolicited advertisements
Keep conversations professional and respectful
Not share personal contact information to circumvent fees

We may monitor messages to prevent fraud and enforce these Terms, but we are not obligated to do so.

11. Disclaimers and Warranties

11.1 Platform "As Is"

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11.2 No Guarantee of Authenticity

We do not guarantee the authenticity, condition, or value of watches listed on the Platform. Users are responsible for verifying authenticity before purchase.

11.3 Third-Party Accounting Integrations

Dealer accounts may optionally connect third-party accounting platforms, including QuickBooks Online (operated by Intuit Inc.) and Wave Accounting. By connecting one of these services, you:

Authorize Wristly to access your accounting account on your behalf using OAuth 2.0 to create customers, invoices, and payment records for watch sales you choose to sync
Acknowledge that your use of those accounting platforms is governed by their respective terms of service and privacy policies — for QuickBooks Online, see Intuit's Terms of Service
Understand that Wristly is not affiliated with, endorsed by, or a partner of Intuit Inc. or Wave Financial Inc. Use of these integrations is provided as a convenience feature
May disconnect the integration at any time from your dealer Settings page; previously synced data in your accounting platform will remain there
Agree that Wristly is not responsible for data accuracy in your accounting platform, tax liability, or accounting errors resulting from use of these integrations

11.4 Other Third-Party Services

We use third-party services (payment processors, shipping, etc.). We are not responsible for their performance or failures.

11.4 User Conduct

We are not responsible for the conduct of users, the accuracy of listings, or the quality of transactions. All transactions are between buyers and sellers.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES YOU PAID TO US IN THE PAST 12 MONTHS, OR $100, WHICHEVER IS GREATER
WE ARE NOT LIABLE FOR LOSSES CAUSED BY THIRD PARTIES, USER CONDUCT, OR CIRCUMSTANCES BEYOND OUR CONTROL
WE ARE NOT LIABLE FOR COUNTERFEIT, STOLEN, OR MISREPRESENTED WATCHES

13. Indemnification

You agree to indemnify, defend, and hold harmless 5D Ai Solutions LLC, its officers, directors, employees, and agents from any claims, liabilities, damages, and expenses (including legal fees) arising from:

Your use of the Platform
Your violation of these Terms
Your violation of any third-party rights
Content you post or watches you list
Transactions you engage in

14. Dispute Resolution and Arbitration

14.1 Informal Resolution

Before filing a claim, you agree to contact us at privacy@wristly.io and attempt to resolve the dispute informally.

14.2 Binding Arbitration

If informal resolution fails, disputes shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.

Arbitration shall take place in Sheridan, Wyoming
The arbitrator's decision is final and binding
Each party bears its own costs
Class actions are prohibited

14.3 Exceptions

Either party may seek injunctive relief in court for intellectual property infringement or violation of confidentiality obligations.

15. Termination

15.1 Termination by You

You may terminate your account at any time through your account settings. Outstanding transactions must be completed before deletion.

15.2 Termination by Us

We may suspend or terminate your account immediately if you:

Violate these Terms
Engage in fraudulent or illegal activity
List counterfeit or stolen watches
Receive repeated negative reviews or complaints
Fail to complete transactions
Abuse or harass other users

15.3 Effect of Termination

Upon termination:

Your access to the Platform will be revoked
Outstanding transactions must be completed
Your listings will be removed
Certain provisions of these Terms survive (liability, indemnification, etc.)
We may retain data as required by law or for legitimate purposes

16. General Provisions

16.1 Governing Law

These Terms are governed by the laws of the State of Wyoming, without regard to conflict of law principles.

16.2 Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by email or platform notice. Continued use after changes constitutes acceptance.

16.3 Severability

If any provision is found unenforceable, the remaining provisions shall remain in effect.

16.4 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and us.

16.5 No Waiver

Our failure to enforce any provision does not waive our right to enforce it later.

16.6 Assignment

You may not assign these Terms without our consent. We may assign these Terms without restriction.

16.7 Force Majeure

We are not liable for failures or delays caused by circumstances beyond our reasonable control.
